The role of the Non-Executive Director is becoming more and more relevant in a business world that must not only be ready, willing, and able to react with speed and efficiency, but one that needs to be constantly attuned to the ever-changing risks attached to exemplary business performance.
To start the programme, across two days, we will cover what the benefits of being a NED are and what to expect from the different corporate entities you may join. You will also learn how to build a personal profile, whilst learning the responsibilities of such a role (including legal obligations) plus others’ roles and responsibilities who will join you around the board table.
We will also cover pre-appointment due diligence, contracts and insurance, how to find a board position and should you expect to be remunerated or not, and if so at what amount. You will learn how to contribute to a board meeting effectively, as well as being prepared for things you may encounter and how to respond to them positively.
Finance for the Non-Executive Director (1.5 days)
Whilst as a NED you are not expected to be a financial genius, all directors including NEDs must have a substantial understanding of finance (including NEDs in a profit or a not-for-profit organisation).
Although you won’t be expected to create the principle financial documents, you must be able to read and understand them and to quickly assimilate the critical financial analysis you will be presented with.
Over 1.5-days you will develop a greater understanding of financial and management statements, and will also be introduced to cash flow management, equipping you with the confidence to ask probing questions where relevant in your future role.
Topics covered in this module will include the legal responsibilities of directors in relation to finance, risk and return, how to understand Balance Sheets (Statement of Financial Position), Profit and Loss accounts (Income Statement) and Statement of Cash Flow. This will also include how management accounts differ to financial accounts and the difference between profit and cash.
You will gain an insight into financial terminology plus accounting policies and what they mean. You will be shown how to read financial notes whilst understanding the purpose of auditors and the auditor’s report, as well as strategic and the directors report. The module will also cover how to use critical ratios to analyse performance, how to manage cash in the business and an introduction into budgeting.

It may be a surprise to learn that as your role of NED you should also challenge the company strategy and marketing plan. As well as bringing new ideas to the table for debate and discussion and whilst there is rarely a right or a wrong approach to such matters, it is critical to understand the approaches to these key board tasks. Formulating strategy is essential for businesses of any nature to succeed.
With the incessant increase in social and digital media and the proliferation of mobile devices, the way we need to communicate with customers, build relationships, conduct business, and stay on top of changing market dynamics is a complex challenge.
Throughout this 1.5-day module, you will learn how to build a solid foundation in strategic planning and marketing concept best practices. Through case discussions, presentations, and small group activities, you will expand your ability to approach strategy and marketing from a non-executive perspective.
Topics covered will focus on how to assist in the creation of an inspiring vision that guides people, whilst understanding the stakeholder and building a plan. You will learn how to value propositions, market segmentation and product/service differentiation in addition to defining and challenging key strategic outcomes and KPIs.
You will learn marketing and strategy terminology and new market channels, whilst utilising strategic management tools including, Porters 5 forces and other techniques. You will examine the fundamentals that great brands and organisations share, whilst discovering how to manage risks which can occur in marketing and strategic communications.
Assessment
As part of the programme, you will work towards receiving a TQUK Level 6 Certificate in Strategic Planning and Leadership (RQF) which is regulated by Ofqual.
As part of the assessment process, we will be the key point of contact for gaining the Level 6 accreditation providing support, assignment marking, feedback and coaching.
You will be inducted onto the assessment on the first day of the cohort and continue working on your written questions post-cohort, via an online assessment portal. Tutor support will be available throughout and feedback will be provided following unit submissions. We anticipate the assessment should take no longer than 12 months to complete.
A full induction process including qualification guidance documents and full access to the assessment workbook and online assessment platform will be provided so you can begin working on the assessment straight away whilst you are attending the five-day programme, where tutors will be available to discuss any questions that you may have. This will also include how management accounts differ from financial accounts and the difference between profit and cash.
You will gain an insight into financial terminology plus accounting policies and what they mean. You will be shown how to read financial notes whilst understanding the purpose of auditors and the auditor’s report, as well as strategic and the directors’ report. The module will also cover how to use critical ratios to analyse performance, how to manage cash in the business and an introduction to budgeting.
Marketing and Strategy for the Non-Executive Director (1.5 days)
It may be a surprise to learn that as your role of NED you should also challenge the company strategy and marketing plan. As well as bringing new ideas to the table for debate and discussion and whilst there is rarely a right or a wrong approach to such matters, it is critical to understand the approaches to these key board tasks.
Formulating strategy is essential for businesses of any nature to succeed.
With the incessant increase in social and digital media and the proliferation of mobile devices, the way we need to communicate with customers, build relationships, conduct business, and stay on top of changing market dynamics is a complex challenge.
Throughout this 1.5-day module, you will learn how to build a solid foundation in strategic planning and marketing concept best practices. Through case discussions, presentations, and small group activities, you will expand your ability to approach strategy and marketing from a non-executive perspective.
Topics covered will focus on how to assist in the creation of an inspiring vision that guides people, whilst understanding the stakeholder and building a plan. You will learn how to value propositions, market segmentation and product/service differentiation in addition to defining and challenging key strategic outcomes and KPIs.
You will learn marketing and strategy terminology and new market channels, whilst utilising strategic management tools including, Porters 5 forces and other techniques. You will examine the fundamentals that great brands and organisations share, whilst discovering how to manage risks that can occur in marketing and strategic communications.
Assessment
As part of the programme, you will work towards receiving a TQUK Level 6 Certificate in Strategic Planning and Leadership (RQF) which is regulated by Ofqual.
As part of the assessment process, we will be the key point of contact for gaining the Level 6 accreditation providing support, assignment marking, feedback and coaching.
You will be inducted onto the assessment on the first day of the cohort and continue working on your written questions post-cohort, via an online assessment portal. Tutor support will be available throughout and feedback will be provided following unit submissions. We anticipate the assessment should take no longer than 12 months to complete.
A full induction process including qualification guidance documents and full access to the assessment workbook and online assessment platform will be provided so you can begin working on the assessment straight away whilst you are attending the five-day programme, where tutors will be available to discuss any questions that you may have. Following this, you will have accessibility to the platform 24/7, so you can continue to work through the assessment at your leisure.

Whilst we welcome any senior exiting officer on our programme, we also welcome those not listed below who may have commercial experience but are seeking specifically to transfer their skillset into the role of a non-executive director.

The Role of the Non-Executive Director (2 days)
The role of the Non-Executive Director is becoming more and more relevant in a business world that must not only be ready, willing, and able to react with speed and efficiency but one that needs to be constantly attuned to the ever-changing risks attached to exemplary business performance.
To start the programme, across two days, we will cover what the benefits of being a NED are and what to expect from the different corporate entities you may join. You will also learn how to build a personal profile, whilst learning the responsibilities of such a role (including legal obligations) plus others’ roles and responsibilities who will join you around the board table.
We will also cover pre-appointment due diligence, contracts and insurance, how to find a board position and should you expect to be remunerated or not, and if so at what amount. You will learn how to contribute to a board meeting effectively, as well as being prepared for things you may encounter and how to respond to them positively.
Finance for the Non-Executive Director (1.5 days)
Whilst as a NED you are not expected to be a financial genius, all directors including NEDs must have a substantial understanding of finance (including NEDs in a profit or a not-for-profit organisation).
Although you won’t be expected to create the principle financial documents, you must be able to read and understand them and to quickly assimilate the critical financial analysis you will be presented with.
